ARTICLE I Purpose
The purpose of the Raleigh Concert Band shall be to provide cultural, recreational and economic benefits to the Raleigh community by acting as its concert band in residence and to help provide its members with opportunities to practice and perform in a large ensemble.
A. Notwithstanding any other provision of these articles, the purposes for which the Association is organized are exclusively religious, charitable, scientific, literary and educational within the meaning of section 501 (c) (3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United States Internal Revenue law.
B.Notwithstanding any other provision of these articles, this organization shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal income tax under section 501 (c) (3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United States Internal Revenue law.

ARTICLE II Name
The official name of the organization shall be: The Raleigh Concert Band. The organization is also known by its previous name of "The Raleigh Community Band."

ARTICLE III Membership
- A. Membership is extended to all qualified musicians with the approval of the Band President, without regard to race, creed, color, gender or sexual orientation.
- B. A qualified member is one who:
- 1. Submits an application form for membership to the Band President;
- 2. Is supportive of the purposes of the organization;
- 3. Has played an instrument in high school or college or has reached a playing proficiency for at least Grade 3 music;
- 4. Meets the musical requirements of the Band Director(s) and is approved by the Band President; and
- 5. Fulfills the duties of a Band member as set forth in the Raleigh Concert Band By-Laws.

ARTICLE IV Band Council
- A. The governing body of the organization shall be the Band Council.
- B. The Band Council shall be composed of the officers of the band (as delineated in Article V), two members-at-large, the immediate past president, the chairpersons of the following standing committees: Library, Equipment, Promotion, History, Electronic Communications and Finance, and up to but no more than five Non-Performing Community Members.
- C. Each Band Council member shall have one vote.
- D. Council decisions shall be by majority vote.
- E. The Band President shall preside at the Band Council meetings.
- F. A council member who loses his or her good standing with the Raleigh Concert Band, by failure to perform the duties of a band member as defined in the By-Laws, shall be replaced by a vote of the remaining members of the Band Council.

ARTICLE V Officers
The officers shall be: President, Secretary, Treasurer and Band Director(s). Each officer shall be responsible for fulfilling the duties of his/her office as set out in the By-Laws of the Raleigh Concert Band. The officers shall be elected by majority vote of the membership.

ARTICLE VI Election and Terms of Office
A. Elections shall be held at the annual meeting of the membership as set forth in Article IX, Section B. The following officers will be elected at the annual election on the even-numbered years: Secretary, Member-at-Large I, and up to three Non-Performing Community Members. The following officers will be elected at the annual election in the odd-numbered years: President, Treasurer, Band Directors), Member-at-Large II, and up to two Non-Performing Community Members. B. Each officer shall serve for a term of two years or until a replacement for the office is selected.

ARTICLE VII Committees
- A. The Band shall have the following standing committees, whose chairpersons and members are to be appointed by the President and whose function is set out in the Raleigh Concert Band By-Laws: Promotion, Library, Equipment, History, Electronic Communications and Finance.
- B. The Band shall have the following special committees, whose chairperson and members are to be appointed by the President at such time as is necessary to carry out Band business: Audit and Nominating.

ARTICLE VIII Appointment of Committee Chairpersons
The following committee chairpersons shall be appointed by the President at the beginning of the calendar year in odd-numbered years: Library, History and Promotions. The following committee chairpersons shall be appointed by the President at the beginning of the calendar year in the even-numbered years: Equipment and Electronic Communications. The chairperson of the Finance Committee shall be appointed by the President at the beginning of the fiscal year in even-numbered years. Each committee chairperson shall serve a term of two years or until a replacement is appointed.

ARTICLE IX Meetings
- A. The Band Council shall meet at least once each year and may hold additional meetings on call of the President or by petitions to the President by three of the Band Council members. Six council members shall constitute a quorum.
- B. An annual meeting for all members shall be held in the first quarter of each calendar year. The date shall be set by the Band Council and announced at least two weeks prior to the meeting. At this meeting, the election of the Council and Officers is to be held as set forth in Article VI. Such other business as is necessary shall be conducted at the meeting. Twenty-five members shall constitute a quorum.
- C. All committees shall meet on call of their chairperson or the Band President.

ARTICLE X Fiscal Year
The fiscal year shall end on June 30 and begin on July 1.

ARTICLE XI Amendments
The Constitution may be amended by a vote of two-thirds of those present at a membership meeting, provided a quorum is present. Proposed amendments shall be distributed to all members listed on the most current band roster at regularly scheduled rehearsals and posted on the band's web site at least two weeks prior to the membership meeting. Members not at rehearsals for either of the two weeks prior to the meeting shall be mailed a copy of the proposed amendments and a notice of the meeting. An amendment becomes effective upon its adoption, unless a motion to adopt specifies another time.

ARTICLE XII Distribution of Assets Upon Dissolution
Upon dissolution of the Raleigh Concert Band, assets shall be distributed for one or more exempt purposes within the meaning of Code Section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future Federal tax code, or shall be distributed to the Federal Government, or to a state or local government, for a public purpose.
